AIM Luxembourg maintains several investment platforms for alternative assets on behalf of the Allianz Insurance Companies. To administrate and manage these investment portfolios, AIM set up a team of investment professionals, providing investment management, accounting, controlling, legal and other operational services. We are searching for an additional Legal/Operations Officer to join this team on a full-time basis.
- Corporate administration of a portfolio of companies through their life cycle;
- Corporate database and hard files updates;
- Structuring and tracking good order of companies' records;
- Arranging various fillings/ obtaining excerpts with the RBE and RCS Registers;
- Ensuring good corporate governance of the companies' portfolio;
- First point of contact for shareholders, asset managers, accounting, cash management, legal/tax advisors, service providers and other teams;
- Analyze, coordinate and assist in implementation of legal changes pertaining to the activity of group companies;
- Preparing documents and fund flows for various transactions: drawdowns, capital calls, capital increases, distributions;
- Updating registers (shares, PECs, CPECs, etc.);
- Organizing board/ shareholders´ meetings and drafting related documentation (minutes, proxies, convening notices, powers of attorney, etc);
- Provide transaction and operational support, e.g. signing and closing process, coordinate funding;
- Set up of new investment platforms;
- University Degree in Law/Finance or similar;
- 2+ years of experience in Luxembourg in a similar position, good knowledge of Luxembourg corporate law and related obligations of the companies;
- Fluency in English; other languages, esp. German would be an asset;
- Very good organizational skills, dynamic and pro-activity;
- Ability to lead an independent project;
- Experience with real estate / infrastructure / PE / securitization vehicles;
- Ability to confidently liaise with various parties and lead professional communication;
- Good understanding of basic finance topics (liquidity planning, FX, payment process, transactions closings)
